Terms of Trade – Reading Furniture & Joinery

1. Definitions

Company: Reading Furniture & Joinery, operating in New South Wales, Australia.
Client: The individual or entity purchasing goods or services from the Company.
Goods: Joinery products, including but not limited to cabinets, countertops, doors, and custom furniture.
Services: Design, manufacturing, installation, and any other related services provided by the Company.

2. Acceptance of Terms

• By placing an order with the Company, the Client agrees to these Terms of Trade.
• Any variations to these terms must be agreed upon in writing by the Company.

3. Pricing and Quotations

• All prices are in Australian Dollars (AUD) and exclude GST unless stated otherwise.
• Quotations and Estimates are valid for 15 days from the date of issue unless otherwise specified.
• The Company reserves the right to adjust prices where there are changes in material costs, design specifications, or other factors beyond the Company’s control.

4. Payment Terms

Manufacturing Orders

  1. 10% Deposit – Payable upon acceptance of the estimate. Non-refundable.

  2. 50% Partial Payment – Payable when final estimate is accepted when materials are ordered or at a pre-agreed milestone.

  3. 40% Final Payment – Payable 2 days prior to pickup or scheduled delivery.

Joinery Orders

  1. 10% Deposit – Payable upon acceptance of the estimate or quotation. Non-refundable.

  2. 50% Partial Payment – Payable when materials are ordered or at a pre-agreed milestone.

  3. 35% Partial Payment – Payable two weeks prior to delivery or installation.

  4. 5% Final Payment – Payable upon completion of installation and Client approval.

Furniture Orders

100% payment required upon acceptance of Quote/Estimate.

General Payment Terms

• Payments may be made via bank transfer, credit card, or other approved methods.
• Late payments incur:
2.5% late fee on the remaining invoice total; and
1.5% interest per month, or the maximum allowable under NSW law.

5. Cancellation and Changes

• Deposits are non-refundable.
• Design changes or specification changes after order confirmation will incur additional costs and may affect timelines.

6. Delivery and Installation

• Delivery and installation dates are estimates only and may vary due to unforeseen circumstances.
• The Client is responsible for ensuring the site is ready, accessible, and safe for delivery and installation.
• Delays caused by the Client will incur additional charges.
• All fitted furniture must be mechanically fixed to the structure using appropriate fixings. In some installations, fixings may be visible due to site or structural conditions.

7. Making Good

• Unless expressly included in the scope, the Company is not responsible for making good plasterwork, paint, flooring, tiles, or adjacent surfaces disturbed during installation.

8. Practical Completion, Handover & Defects Management

Practical Completion

Practical Completion is reached when the Works are substantially complete, meaning:

• The joinery is installed, operational, and fit for its intended purpose;
• Any remaining items are minor, non-functional, and do not prevent use;
• The installation meets industry standards for quality, alignment, operation, and finish; and
• Site conditions or works by others do not prevent the joinery from being reasonably assessed as complete.

Practical Completion does not require every minor item or touch-up to be finalised, provided these do not materially affect use or function.

Handover Procedure

At Practical Completion, the following steps occur:

  1. Internal Inspection – The Company completes a final quality check.

  2. Handover Notification – The Client is notified that Practical Completion has been achieved.

  3. Final Invoice – All outstanding amounts under the payment schedule become due.

  4. Delivery / Access Confirmation – Delivery or installation is scheduled once final payment is received and site conditions are confirmed suitable.

  5. Commencement of Defects Period – The Defects Liability Period begins automatically on the date of Practical Completion.

Defects Liability Period

• A 30-day Defects Liability Period applies from the date of Practical Completion.
• The Company will rectify, at its cost, any defects arising from workmanship or materials within its scope that:
– are reported in writing within the 30-day period,
– are not caused by misuse, damage, environmental conditions, lack of maintenance, or other trades, and
– fall within what is reasonably considered a defect under industry standards.

Rectification will be scheduled within a reasonable timeframe, considering workshop capacity, material availability, and site access.

Items considered natural characteristics—such as movement in timber, grain variation, paint settling, or batch variations—are not defects.

9. Ownership and Risk

• Ownership remains with the Company until full payment is received (PPSA compliant).
• Risk transfers to the Client upon delivery to site.

10. Material and Finish Variations

• Natural materials (timber, stone, veneer) exhibit variations in colour, grain, tone, and texture.
• Manufactured finishes may show minor batch variation.
• Such characteristics are not defects.

11. Warranties

• A 12-month warranty applies to materials and workmanship, subject to fair wear and tear.
• Warranty does not cover damage caused by others, misuse, environmental conditions, or alterations by the Client.
• This warranty is in addition to rights under the Australian Consumer Law (ACL).

12. Liability

• Liability is limited to the value of the Goods or Services supplied.
• The Company is not liable for indirect or consequential losses.
• ACL rights cannot be excluded.

13. Force Majeure

• The Company is not responsible for delays caused by events outside its control, including natural disasters, strikes, or supply chain issues.

14. Dispute Resolution

• Disputes will first be addressed through good-faith negotiation.
• If unresolved, disputes may proceed to mediation or arbitration under NSW law.
• Clients may also seek assistance from NSW Fair Trading.

15. Governing Law

• Governed by the laws of New South Wales, Australia.
• Proceedings must be brought in NSW courts.

16. Entire Agreement

• These Terms of Trade replace all prior agreements or representations.
